Agreement.

§ 1Definitions

For the purposes of this Agreement:

• "Software" means TrendSurfers Terminal Manager, including its installer, executables, libraries, configuration files, in-app text, documentation, and any Updates delivered by InfinityDev SL — as further described in Schedule A attached.
• "Licensor", "InfinityDev SL", "we", "us" means INFINITYDEV, S.L. (NIF B-44974798), Plaça Jardí Enric Morera 2, 17600 Figueres, Girona, Spain.
• "Licensee", "you" means the natural or legal person who installs or uses the Software.
• "Official Sources" means the distribution channels operated by or for InfinityDev SL: the GitHub releases of the repository github.com/trendsurfers-software/mt-manager, the built-in update mechanism of the Software, and downloads linked from trendsurfers.io.
• "MT5" means MetaTrader 5, a product of MetaQuotes Software Corp. — see §11 and §12.
• "EA" means Expert Advisor — an automated trading program running inside the MetaTrader 5 platform.

§ 2Parties

This Agreement is between:

• The Licensor — INFINITYDEV, S.L., a sociedad de responsabilidad limitada incorporated in Spain (NIF B-44974798), registered in the Registro Mercantil de Girona (Tomo 3.431, Folio 106, Hoja GI-72299), with registered office at Plaça Jardí Enric Morera 2, Bajos, 17600 Figueres, Girona, Spain. EUID: ES17010.000505013.
• The Licensee — the natural or legal person who installs or uses the Software.

No payment is made, and no merchant of record is involved, in connection with the Software. The Software is provided free of charge under the terms of this Agreement.

§ 3Acceptance & Formation

This Agreement is formed and becomes binding upon the earliest of: (a) your acceptance of the click-through dialog presented at first launch of the Software; or (b) your installation or use of the Software.

If you do not agree to these terms, do not install or use the Software, and delete any copies in your possession.

§ 4Grant of License

Subject to your continued compliance with this Agreement, InfinityDev SL grants you a free-of-charge, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Software on devices under your control, for your own internal, personal, or commercial trading-operations purposes.

No license fee is payable. InfinityDev SL may release updates, may modify the feature set of future versions, and may offer separate paid products; nothing in this Agreement obliges InfinityDev SL to keep the Software, or any particular feature of it, available free of charge (or at all) in future versions. Versions already installed remain governed by the version of this Agreement accepted for them.

§ 5Distribution Restrictions & Official Sources

The Software is distributed exclusively through the Official Sources. You shall not, directly or indirectly:

• Redistribute, re-upload, mirror, re-host, or otherwise make the Software (or its installer or any Update) available to third parties, whether or not for payment;
• Sell, resell, rent, lease, or lend the Software, or charge any fee for its procurement, installation, or activation;
• Bundle the Software with any other product, service, or installer;
• Offer the Software through any app store, marketplace, download portal, or software repository.

You may direct others to the Official Sources. Copies obtained from any other source are unlicensed, may have been tampered with, and are used entirely at the user's own risk.

§ 6The Software (As-Is Baseline)

The Software is a terminal management and EA configuration tool that interoperates with the MetaTrader 5 platform. It provides, among other things: discovery and management of local MT5 terminals; scanning of installed Expert Advisors and locally known symbols; import of EA parameter (.set) files and their deployment as MT5 chart profiles; and a local deployment registry. The complete feature inventory in effect for this version is set out in Schedule A.

The Software is licensed "as-is" and "as-available", with the warranty disclaimers in §14. Portions of the Software's code may contain features that are not enabled in this release; Schedule A lists only the enabled capabilities, and no representation is made regarding disabled or future features.

§ 7Updates & Maintenance

InfinityDev SL may, from time to time and at its sole discretion, release updates, bug fixes, patches, and new features ("Updates") for the Software, delivered through the Official Sources, including the Software's built-in update mechanism.

InfinityDev SL makes no commitment to release any specific Update, feature, or fix at any specific time, and may discontinue the Software entirely at any time. The roadmap, including any feature mentioned in marketing materials, in support communications, or on the website, is indicative only and may change without notice.

§ 8Support

InfinityDev SL may provide best-effort support through the channels designated on the website. The Software being free of charge, no entitlement to support of any kind arises from this Agreement; no service-level agreement, response-time guarantee, or fix-time commitment is offered or implied, and support may be limited, prioritized for paying customers of other InfinityDev SL products, or withdrawn at any time.

§ 9Fees

The Software is provided free of charge. No refunds are applicable, as no payment is made. If you were charged by any third party for the Software, you were charged by an unauthorized distributor in breach of §5, and you should seek recourse from that party; InfinityDev SL has received no such payment and owes no refund.

§ 10Trading-Risk Disclaimer

The Software is a terminal management and EA configuration tool providing capabilities to assist a competent trader in monitoring, configuring, and deploying MetaTrader 5 Expert Advisors. The Software is not a trading signal service, a robo-advisor, an automated execution engine, an investment-recommendation system, or a financial-advice product. It does not generate trading signals, does not autonomously place or modify trade orders, and does not represent that any configuration or deployment produced through the Software will be profitable or suitable for live deployment.

Without limiting the generality of the foregoing, the Licensee specifically acknowledges and agrees that:

1. Outputs are operational outputs. Any output produced by or in connection with the Software (including but not limited to: EA parameter sets, deployment configurations, chart profiles, deployment registry records, and scan results) is an operational output intended for the Licensee's evaluation and use. It is not a trading recommendation, signal, advice, instruction, or direction to act.
2. Decisions are yours. Any decision to deploy, modify, enable, disable, or otherwise act upon any output of the Software is made solely by the Licensee, on the Licensee's own analysis, judgment, and risk assessment, and at the Licensee's exclusive responsibility.
3. Past performance is not indicative. Past performance, historical configurations, and any metric produced by or in connection with the Software is not indicative of future results and provides no representation or warranty that any future trading will be profitable or suitable for the Licensee's circumstances.
4. Compliance is yours. The Licensee is solely responsible for: (i) compliance with all applicable laws and regulations governing the Licensee's trading activity; (ii) compliance with the terms of any broker, prop trading firm, exchange, or other counterparty; (iii) the suitability of any EA configuration, parameter, or deployment for the Licensee's risk tolerance, capital, and objectives; (iv) all financial outcomes of any trading activity.
5. Express waiver. To the fullest extent permitted by applicable law, the Licensee irrevocably waives any and all claims against InfinityDev SL, its administrators, employees, contractors, and agents for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or relating to any financial loss, missed gain, opportunity cost, broker or prop-firm fee, slippage, drawdown, account closure, regulatory action, or any other financial or non-financial consequence of any trading activity, regardless of whether such activity was informed by, derived from, conducted in reliance upon, or unrelated to any output of the Software.
6. No advice. Nothing in the Software, including any documentation, marketing materials, in-app text, support communications, or any output of the Software itself, constitutes investment advice, financial advice, tax advice, or legal advice. The Licensee should consult qualified professional advisors before making any financial decisions.
7. Verification obligation. The Software is an operational management instrument, analogous in nature to general-purpose terminal management, configuration, and monitoring tools. As with any such instrument, the Licensee is solely responsible for verifying, validating, and independently reviewing the Software's outputs before relying on them for any purpose. Before acting on any output of the Software in any live-trading context, the Licensee shall perform independent verification of any configuration or deployment. The Licensee's failure to perform such verification constitutes the Licensee's own contributory action; any loss resulting from acting on un-verified outputs is attributable to the Licensee's own decisions and not to any defect, malfunction, or representation of the Software.

§ 11Third-Party Trademarks & Affiliations

The Software is an independent product developed by InfinityDev SL. InfinityDev SL is not affiliated with, endorsed by, sponsored by, certified by, or otherwise connected to MetaQuotes Software Corp., MetaQuotes Ltd., or any of their affiliated entities ("MetaQuotes"). The Software is not approved by MetaQuotes, and MetaQuotes provides no warranty, support, or representation regarding the Software.

The same disclaimer applies to all other third-party entities, platforms, brokers, prop trading firms, and data providers whose names, marks, or services may appear in or be referenced by the Software, its documentation, or its marketing materials.

"MetaTrader", "MetaTrader 4", "MetaTrader 5", "MT4", "MT5", "MQL4", and "MQL5" are registered trademarks of MetaQuotes Software Corp. and/or its affiliated entities. Microsoft, Windows, and .NET are trademarks of Microsoft Corporation. All other product names, trademarks, service marks, and registered trademarks referenced in the Software or its accompanying materials are the property of their respective owners and are used solely for identification and descriptive purposes. Such use does not imply endorsement, sponsorship, or any affiliation between InfinityDev SL and the trademark holders.

The Software may interoperate with, reference, or rely on availability of third-party platforms, services, or systems. InfinityDev SL has no control over such third-party systems and assumes no responsibility for any change, suspension, restriction, or termination of those systems by their respective operators. Such effects do not entitle the Licensee to damages or any other remedy from InfinityDev SL.

§ 12Intellectual Property & Restrictions

All title, intellectual-property rights, and other proprietary rights in and to the Software (including all source code, object code, algorithms, data structures, internal mechanisms, file formats, configurations, documentation, and any modification or derivative thereof) are and shall remain the exclusive property of InfinityDev SL or its licensors. The Software is licensed, not sold, and it being free of charge does not place it in the public domain, make it open source, or grant any right not expressly set out in this Agreement.

The Licensee shall not, directly or indirectly, and shall not permit any third party to:

• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, internal structure, or algorithms of the Software, except to the limited extent that such activity is expressly permitted by mandatory applicable law;
• Modify, adapt, translate, or create derivative works of the Software;
• Remove, alter, or obscure any copyright, trademark, or other proprietary notice;
• Distribute the Software except as permitted by §5;
• Use the Software to develop a competing product or service;
• Circumvent or attempt to circumvent any technical protection or feature-gating mechanism of the Software;
• Use the Software in violation of applicable law or in any manner not expressly permitted by this Agreement.

Trade secrets. The Licensee specifically acknowledges that the internal mechanisms of the Software — including but not limited to: the terminal discovery and enumeration strategy, the symbol and Expert Advisor scanning pipeline, the set-file classification and parameter inspection logic, the chart-profile deployment pipeline, and the deployment registry format — constitute valuable trade secrets of InfinityDev SL, the protection of which is essential to InfinityDev SL's business.

§ 13Platform Dependency & Compatibility (MT5)

The Licensee acknowledges that the Software is designed to interoperate with the MetaTrader 5 trading platform, a product of MetaQuotes Software Corp., and depends on specific MT5 capabilities for its operation. Such dependencies include, without limitation:

• The ability to enumerate and query running MT5 terminal processes, including access to process identifiers and window handles;
• The structure of MT5 terminal data folders, including configuration files, EA directories, symbol data folders, chart profile folders, and log storage;
• The format, structure, and naming conventions of MT5 Expert Advisor parameter files (.set files), chart profile files (.chr files), and compiled EA binaries;
• Any other MT5 capability, behavior, format, or interface upon which any feature of the Software relies, whether expressly listed in Schedule A or not.

The Licensee further acknowledges that MetaQuotes is an independent third party over which InfinityDev SL has no control. MetaQuotes may, at any time, in its sole discretion, and without notice or consent of InfinityDev SL or the Licensee, modify, restrict, deprecate, or remove any MT5 capability; change the licensing terms or eligibility criteria for use of MT5; issue technical, contractual, or marketplace measures that prevent or limit interoperation between MT5 and third-party software including the Software; or discontinue MT5 entirely.

The Licensee accepts and assumes all risk arising from the Software's dependency on MT5. To the fullest extent permitted by applicable law, any malfunction, degradation, or cessation of Software functionality caused (in whole or in part) by an action or omission of MetaQuotes does not constitute a defect, breach of warranty, breach of contract, or non-conformity of the Software, and does not entitle the Licensee to any remedy from InfinityDev SL. InfinityDev SL has no obligation to develop any workaround or replacement in response to any such MetaQuotes action, although it may, at its sole discretion, undertake to do so on a best-efforts basis without thereby creating any continuing obligation.

§ 14Disclaimer of Warranties

To the fullest extent permitted by applicable law, the Software is provided "AS IS" and "AS AVAILABLE", without warranty of any kind, whether express, implied, statutory, or otherwise. InfinityDev SL specifically disclaims all warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, uninterrupted operation, error-free operation, security, and availability.

InfinityDev SL does not warrant that the Software will meet your requirements, that the Software will operate without interruption or error, or that any defect will be corrected. The above disclaimer is qualified only to the extent that mandatory consumer-protection laws of your country of residence prohibit its application.

§ 15Limitation of Liability

To the fullest extent permitted by applicable law, the aggregate liability of InfinityDev SL, its administrators, employees, contractors, and agents arising out of or relating to this Agreement or the Software shall not exceed the amount actually paid by the Licensee to InfinityDev SL for the Software (being zero for this free-of-charge license) or, where applicable law requires a higher minimum, fifty euros (EUR 50).

In no event shall InfinityDev SL be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to loss of profits, loss of revenue, loss of data, loss of business, loss of goodwill, or trading losses, regardless of the legal theory and regardless of whether InfinityDev SL has been advised of the possibility of such damages.

Nothing in this clause limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded under applicable law.

§ 16Indemnification

The Licensee shall defend, indemnify, and hold harmless InfinityDev SL, its administrators, employees, contractors, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) the Licensee's use of the Software; (b) the Licensee's breach of this Agreement, including any redistribution in breach of §5; (c) the Licensee's violation of any applicable law; (d) the Licensee's trading activity; or (e) any claim brought by a third party (including a broker, prop firm, exchange, or counterparty) arising out of the Licensee's use of any output of the Software.

§ 17Termination

This Agreement is effective until terminated. The Agreement terminates automatically and without notice upon any material breach by the Licensee, including any breach of §5 or §12.

Upon termination, the Licensee shall cease all use of the Software and delete all copies of the Software in their possession. Termination does not relieve the Licensee of any liability accrued prior to termination. The clauses that by their nature are intended to survive termination shall survive (including §10, §11, §12, §13, §14, §15, §16, §19).

§ 18Privacy & Data

The Software stores its data locally on the Licensee's device. The Software does not require an account or registration and does not transmit license telemetry. The built-in update mechanism contacts GitHub (github.com), operated by GitHub, Inc., to check for and download Updates; GitHub receives standard connection metadata (such as IP address) subject to GitHub's own privacy terms. The full description of data handling and Licensee rights under GDPR is set out in the Privacy Policy, which is incorporated into this Agreement by reference: Privacy Policy.

§ 19Governing Law & Jurisdiction

This Agreement shall be governed by, and construed in accordance with, the laws of the Kingdom of Spain, without giving effect to any conflict-of-laws principles. Any dispute arising out of or in connection with this Agreement shall be submitted to the exclusive jurisdiction of the courts of Figueres, Girona, Spain.

Consumer carve-out. If the Licensee is a consumer resident in the European Union, the foregoing choice of law and jurisdiction does not deprive the Licensee of the protection of the mandatory consumer-protection laws of the Licensee's country of residence (Brussels I bis Regulation, Article 17 et seq.). The Licensee may bring proceedings in either the courts of the Licensee's country of residence or the courts of Figueres.

§ 20General Provisions

Entire agreement. This Agreement, together with Schedule A, the Privacy Policy, and any applicable Feature-Specific Terms, constitutes the entire agreement between the parties relating to its subject matter and supersedes all prior agreements, representations, and understandings.

Severability. If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Versioning. Each Licensee is bound by the version of this Agreement accepted at first launch of the installed Software. New versions are presented for acceptance within the Software and apply from acceptance.

Notices. Notices to InfinityDev SL shall be sent to the address in §22.

Assignment. The Licensee may not assign this Agreement. InfinityDev SL may assign this Agreement to any successor in interest.

Language. This Agreement is executed in English. Any translation is for convenience only; the English text controls.

Force majeure. Neither party shall be liable for any failure or delay in performance caused by circumstances beyond its reasonable control.

§ 21Feature-Specific Terms

From time to time, InfinityDev SL may introduce features in Updates that are subject to additional terms ("Feature-Specific Terms"). When the Licensee first attempts to enable or use such a feature, the applicable Feature-Specific Terms will be presented within the Software, accompanied by a mechanism to accept or decline.

Feature-Specific Terms apply only to the specific feature they govern. Declining them does not affect the Licensee's right to use the rest of the Software under this EULA. They supplement — they do not replace — this base EULA, including its limitations of liability, warranty disclaimers, trading-risk disclaimers, and platform-dependency disclaimers, all of which apply to all features whether or not subject to Feature-Specific Terms.

Schedule ASoftware Feature Inventory — Terminal Manager v1.0.0 (Free Edition)

The capabilities listed below are those enabled as of EULA v3.0 (effective 6 August 2026), corresponding to Software version v1.0.0. Each entry annotates the MT5 capabilities the feature relies on; in the event MetaQuotes modifies any such capability, §13 governs. Additional capabilities may exist in the Software's code but are not enabled in this release; Schedule A lists only enabled capabilities.
